Terms of Service

1. Company Information

These Terms of Service ("Terms") govern your access to and use of the VidGuy platform ("Platform"), operated by Chrono Games UG (haftungsbeschränkt), registered in Germany, with its registered office at Axel-Springer-Platz 3, 20255 Hamburg, Germany ("Company", "we", "us").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Description of Services

VidGuy is an AI-powered video creation platform that enables users to generate, edit, and export video content through automated workflows including script generation, voiceover synthesis, visual assembly, and multi-platform export.

3. Eligibility

The Platform is intended for professional and business use. By accessing the Platform, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization.

4. Account Registration

You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

5. Subscriptions and Credits

Access to the Platform requires an active paid subscription. We do not offer free trials; billing begins immediately when you subscribe. If your subscription lapses, is cancelled, or payment fails, access to the Platform is suspended until an active subscription is restored.

Each plan includes an allocation of credits per billing period. Video generation consumes credits based on complexity, duration, and features selected.

Plan credits are valid only for the billing period in which they are granted. Unused plan credits expire at the end of each billing period and do not roll over. Credits from separately purchased credit packs do not expire, but an active subscription is required to access the Platform and use them.

Subscriptions renew automatically at the end of each billing period unless cancelled at least 72 hours before renewal. Upon cancellation or termination of a subscription, any remaining plan credits from the current billing period are forfeited; unused credit-pack credits are retained and become usable again if you resubscribe.

Credits have no monetary value, are non-transferable, and cannot be redeemed or refunded for cash.

6. Pricing and Payment

All prices are displayed in USD and exclude applicable taxes. Taxes are calculated automatically based on your location via our payment processor, Stripe.

If a renewal payment fails, access to the Platform is suspended until the outstanding amount is settled or a new subscription is started. Overdue amounts may accrue interest at the statutory rate permitted under German law, plus reasonable collection costs.

7. Intellectual Property

7.1 Platform Ownership

The Platform, including its software, design, templates, AI models, and documentation, is and remains the exclusive property of Chrono Games UG. You are granted a limited, non-exclusive, non-transferable license to use the Platform for the duration of your subscription.

7.2 Your Content

You retain ownership of content you create using the Platform, including scripts, prompts, and generated videos ("User Content"). By using the Platform, you grant us a royalty-free, non-exclusive license to process your content as necessary to provide and improve the service.

7.3 AI-Generated Content

Content generated by the Platform's AI models is provided as-is. You are responsible for reviewing and ensuring that any generated content complies with applicable laws before publication or distribution.

You agree not to use the Platform to:

We reserve the right to suspend or terminate accounts that violate these restrictions without notice or refund.

9. Limitation of Liability

To the maximum extent permitted by law, Chrono Games UG's total liability for any claims arising from or related to the Platform shall not exceed the total fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities. This limitation does not apply in cases of gross negligence, willful misconduct, or personal injury.

10. Indemnification

You agree to indemnify and hold harmless Chrono Games UG, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your User Content, or your violation of these Terms.

11. Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the EU General Data Protection Regulation (GDPR).

12. Termination

You may cancel your subscription at any time through your account settings. We may terminate or suspend your account immediately and without notice if you breach these Terms, fail to pay, or engage in illegal activity.

Upon termination, your right to use the Platform ceases immediately. Provisions relating to intellectual property, liability, indemnification, and governing law survive termination.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hamburg, Germany.
